We are seeking a stellar, highly-motivated superstar Senior Legal Project Manager/Corporate Paralegal to support and grow with our small, but mighty global legal team here at Broadcom-EUC! The EUC Legal Team is a very close-knit group of colleagues who each wear different-colored hats and work well both independently and collaboratively as a group. In addition to working closely with other members of the EUC Legal Team, this role will collaborate cross-functionally with stakeholders across the Broadcom-EUC business to ensure projects and operations are running smoothly.

The ideal candidate will be responsible for managing corporate governance and compliance matters for our international and domestic legal entities. This role requires a strong understanding of corporate formalities, and exemplary organizational, communication, collaboration and influencing skills as well as a desire to learn and grow are expected of this role. You should also have an operations-focused and business-oriented mindset, as well as an eager willingness to engage in ensuring the overall growth and success of the Legal Team and the overall organization.

Versatility is key as the candidate will also support ad hoc legal projects and initiatives.

Responsibilities:
 

  • Manage corporate governance and compliance for international legal entities, including coordinating statutory filings, annual reports, and other corporate formalities in accordance with local laws and regulations.
  • Maintain accurate and up-to-date corporate records and entity information, including entity formation documents, board resolutions, bylaws, shareholder agreements and powers of attorney.
  • Coordinate with external legal counsel and service providers to ensure timely and accurate completion of statutory filings and compliance requirements in international jurisdictions.
  • Assist in the establishment and dissolution of international legal entities, including drafting corporate resolutions, board minutes, and other corporate documentation as needed.
  • Compile and distribute board and committee minutes and consents and maintain the corporate board minute book.
  • Track and manage deadlines for international legal entity filings and compliance obligations, providing regular updates to internal stakeholders and legal team members.
  • Manage US state registrations and annual filings for domestic legal entities, including business entity registrations, annual reports, and other state-specific compliance requirements.
  • Assist with, obtain and distribute notarizations, apostilles, legalized documents, certified copies, corporate filings and other corporate documents, as needed
  • Assist with due diligence activities related to corporate transactions, including entity searches, document retrieval, and organizational chart preparation.
  • Support the legal team and other company functional departments with ad hoc projects and initiatives as needed, including contract management, litigation, legal research, sourcing and procurement, legal operations and document review.
  • Other projects and paralegal duties as assigned.

Qualifications:

The successful candidate will have:
 

  • Bachelor's degree and/or paralegal certification preferred
  • 5+ years of experience as a legal project manager and/or paralegal, preferably in a law firm or corporate legal department
  • Strong understanding of corporate governance principles and compliance requirements  
  • Experience managing international legal entity compliance is required
  • Proficiency in Microsoft Applications (Outlook, Excel, PowerPoint) and legal research databases
  • Current notary public certification (preferred)
  • Proficiency in Smartsheet (preferred)
  • Stellar organizational and interpersonal skills, with the ability to collaborate effectively with internal and external stakeholders
  • Strong attention to detail with a high level of accuracy in work product

Location: Palo Alto, CA and Atlanta, GA / Flexible preferably near a local office with the ability to work in the office regularly.

Minimal travel required.

For US based candidates, the annual pay range (OTE for commissioned roles; Salary for other roles) for this position is: $91,000 - $218,000. The actual offer will be based on the role, location, and individual candidate experience. Bonus, commission, and/or equity may be eligible for this position. EUC, a division of Broadcom, offers comprehensive benefits including, but not limited to: medical, dental, and vision plans, company paid holidays, paid sick leave, and vacation time. This job may require the candidate to travel and/or work from a facility that requires full vaccination prior to entry.
